VEELIVE METAVERSE RULES AND TERMS OF USE

Introduction

These Terms of Use (“Terms”) govern your access to, interaction with, and use of Veelive (“Platform”), a decentralized, community-driven metaverse developed and managed by Bitpix LTD (“BTX,” “we,” “our,” or “us”). By accessing or using Veelive, you agree to comply with these Terms and all related policies.

Veelive allows users to participate in a vibrant metaverse where they can purchase, trade, and interact with digital assets such as Xon Tokens, NFTs, virtual land, buildings, apartments, and other features. Users are encouraged to read and understand these Terms before engaging with the Platform.

1. KEY FEATURES OF VEELIVE

1.1 Xon Tokens

  • Official Payment Token: Xon Tokens are the official utility tokens of Veelive, used for all transactions within the ecosystem.
  • Supply and Initial Price: Total supply is 2 billion tokens, with an initial price of $0.01 per token.
  • Usage: Xon Tokens can be used to purchase NFTs, land, buildings, apartments, and services on Veelive. They offer the most favorable exchange rate for transactions on the Platform.
  • Acquisition: Users can acquire Xon Tokens through various bonus programs, the Start Fund, or by exchanging other cryptocurrencies such as USDT, Ethereum, or TON tokens.
  • Custody Wallet: All Xon Tokens are stored in a secure custody wallet linked to each user’s Veelive account.

1.2 NFTs on the Marketplace

  • Land and Building NFTs: Users can purchase land and buildings as NFTs on the Veelive marketplace.
    • Basic Land NFT: Represents 1 square meter of basic land.
    • Exclusive Land NFT: Represents 1 square meter of exclusive land, offering higher benefits.
    • Basic Building NFT: Represents 1 square meter of basic building.
    • Exclusive Building NFT: Represents 1 square meter of exclusive building, offering the highest benefits.
  • Profit Sharing: Revenue from rents within the Veelive metaverse is distributed every three months to users based on their NFT holdings. Each NFT generates shares:
    • Basic Land NFT: 1 share.
    • Exclusive Land NFT: 3 shares.
    • Basic Building NFT: 5 shares.
    • Exclusive Building NFT: 15 shares.
  • Quarterly Payouts: Total rental income is divided by the total shares and distributed to NFT holders.

1.3 VIME Tokens

  • Total Supply: 500,000 tokens.
  • Price: $200 per token.
  • Purpose: VIME tokens represent investment opportunities, entitling holders to a share of Veelive’s total revenue, distributed quarterly.
  • Restrictions: VIME tokens are not sold directly on the Veelive marketplace but can be traded by token holders on the secondary market.

1.4 Influencer Nodes 

  • Eligibility: Influencers with at least 5,000 followers can apply for their own nodes s by completing an online form.
  • Nodes Details: Each influencer receives 50 tokens for every 1,000 followers. Initial node price is $7.
  • Community Profit Sharing: Nodes holders earn a portion of profits generated by the influencer’s community activities (e.g., land purchases, rentals).
  • Trading: Nodes can be sold on the Veelive marketplace.

1.5 Start Fund

  • Users can purchase a Start Fund based on their character level to receive a set amount of Xon Tokens in their custody wallet.
  • Withdrawal Policy: Start Fund tokens are subject to a blocking period to ensure ecosystem stability.

2. APARTMENTS, OFFICES, AND STORES

2.1 Apartments

  • Users can purchase apartments for a fixed rental period of 6 months or 12 months.
  • Apartment Types and Rental Costs:
    • Basic Apartment: Standard furnishing package.
      • 6 Months: Fixed rental price applies.
      • 12 Months: Discounted price applies.
    • Exclusive Apartment: Premium furnishing package with additional benefits.
      • 6 Months: Fixed rental price applies.
      • 12 Months: Discounted price applies.
  • Non-Refundable Fees: Once the user purchases an apartment for the specified period, the rental fee is non-refundable.

2.2 Offices and Stores

  • Users can purchase offices or stores as NFTs to set up businesses in the metaverse.
  • Resale and Rental: Offices and stores can be resold or rented out via the Veelive marketplace.

3. USER RESPONSIBILITIES

3.1 Eligibility

  • Users must be at least 18 years old to access Veelive’s features.
  • By using the Platform, you confirm compliance with all applicable laws and regulations in your jurisdiction.

3.2 User Content

  • Users are responsible for the content they upload, including metadata for LAND.
  • All content must comply with these Terms and cannot contain illegal, offensive, or defamatory material.

3.3 Intellectual Property

  • Users retain ownership of their uploaded assets but grant BTX a license to use them for promotional purposes.
  • Assets sold as NFTs remain the intellectual property of their creators, with buyers receiving ownership of the tokenized representation.

4. TRANSACTIONS AND FEES

4.1 Marketplace Transactions

  • All transactions are conducted in cryptocurrency.
  • Transaction Fees: A fee is applied to every NFT sale, deducted automatically during the transaction.

4.2 Withdrawal Policy

  • Withdrawals are processed in cryptocurrencies only.
  • Users must complete identity verification to access withdrawal features.

5. PROHIBITED ACTIVITIES

Users must not:

  1. Upload or share illegal, pornographic, or defamatory content.
  2. Engage in fraudulent activities or promote gambling.
  3. Interfere with Veelive’s operations or security.
  4. Use bots or automated systems to exploit the Platform.

6. TERMINATION AND MODIFICATIONS

BTX reserves the right to:

  1. Modify or discontinue any feature of the Platform with reasonable notice.
  2. Terminate user accounts for violations of these Terms.
  3. Update these Terms at any time, with changes effective upon posting.

7. LIABILITY AND DISPUTES

  • Veelive operates on an “as is” basis, and BTX disclaims all warranties.
  • BTX is not liable for losses arising from user transactions or blockchain interactions.
  • Governing Law: These Terms are governed by the laws of Seychelles, with disputes resolved in Seychelles courts.

ACCOUNTS AND FUNCTIONS

Effective Date: January 1/2025

ACCOUNTS

Individuals must be at least 13 years old to have an account. In some regions, there are additional age restrictions based on local laws. In the US, there is a separate Veelive experience for users under the age of 13, which offers a more limited Veelive experience with additional safety precautions and a special privacy policy. If we learn that an individual on Veelive does not meet the minimum age requirement for an account, we will suspend that account.

Violation of our rules may result in enforcement action against accounts. We will suspend accounts or account holders if they engage in the following activities:

  • A single serious content violation
  • Repeated content violations
  • Circumventing the enforcement of our policies
  • Operating accounts that violate our policies

This includes any activity with a primary purpose that is not allowed on our platform, such as accounts that focus on hate speech, trading or marketing prohibited goods, spam or impersonation (for more information on circumvention and dedicated accounts, see Spam and fraudulent behavior). In cases of serious violations of our rules or use of circumvention measures, we may also suspend all other accounts of the account holder on our platform.

We also suspend accounts if we become aware that their account holders are violent or hateful actors or have committed a sexual offense against a minor. We consider off-platform activity related to violence, hate and sexual abuse or child sexual exploitation in making decisions about these account suspensions. We report accounts to the appropriate law enforcement authorities when there is a specific, credible and imminent threat to human life or serious bodily harm.

Repeated posting of content that is permitted on our platform but not permitted for 3D Space may result in the account and its content not being permitted for recommendations. This means, among other things, that it will be inadmissible for the 3D space and harder to find in search.

PROFESSIONAL ACCOUNT USER/INFLUENCER

When you set up a professional account on Veelive, you have access to the following features:

  • Professional dashboard: Keep an eye on your performance, benefit from access to professional tools and discover useful information compiled by Veelive.
  • Contact information: You can add a contact button to your professional account, which will be displayed at the top of your profile. You can provide directions, a phone number and/or an e-mail address. Your contact information will then be displayed accordingly. You can edit this information at any time. If you have activated this feature, all users who click on the contact button will see your information.
  • User: You can register as a user and receive all the features that Veelive offers. Every user can present himself on the marketplace by filling out a form that he can find in the back office under his personal data. By doing so, the user agrees that his information and picture will be visible to everyone on the marketplace.
  • Influencer: Every influencer who has more than 5000 followers on other social media channels and can prove this to Veelive receives their own tokens that they can market. They fill out the form truthfully. As a result, the user receives a free advertisement on the Veelive marketplace under the “Influencer” section with a picture and text that they post themselves.  If Veelive discovers that false information has been provided, Veelive reserves the right to block the account. After the form has been filled out truthfully, the user will be notified. He will receive 20 times the number of followers he can prove. The tokens will be named according to his wishes. He must provide us with at least 3 names. The tokens are then placed on the Veelive marketplace by Veelive. The influencer specifies their wallet, to which Veelive transfers USDT directly when the token is sold. The influencer receives 50% of the revenue from the token. The token price is 7 USDT. All followers are created through his direct or through his other partners through a referral link that starts with him. The sale of his tokens is not dependent on his followers. Every user can choose influencers on the marketplace and invest.  You can see the commission structure here.

Block the account. In return, the brand partner receives a super commission on all his followers at Veelive. The influencer specifies his wallet to which Veelive transfers his commission directly when products such as (land, buildings) are sold.

All followers are created by his direct or by his other partners through a referral link that starts with him. You can see the commissions here.

ACCOUNTS OF NEWS ORGANIZATIONS, GOVERNMENTS, POLITICIANS AND POLITICAL PARTIES

Governments, politicians and news organizations play an important role in civic processes and civil society. While we treat their content like that of any other account and remove all violations, we take a different approach to enforcement at the account level, consistent with our commitment to respecting human rights and freedom of expression. However, these public interest accounts are suspended for one-time serious content violations, such as threats of violence. For repeated content offenses that are less serious, these accounts will be temporarily blocked from the 3D space and their followers’ feeds. In certain circumstances, they may also be temporarily prevented from posting new content.

VEELIVE LIVE

Veelive LIVE allows users to create content in real time, interact with their audience and build their community. To ensure a safe experience on LIVE, this feature is not available to minors. Users must be at least 18 years old to use LIVE or to send gifts to creators during a LIVE video.

Violation of our rules will result in the closure of an ongoing LIVE session and may result in temporary restrictions on the use of LIVE or features of LIVE or account suspension. Accounts must meet the relevant eligibility criteria to qualify for our monetization features.

A LIVE video is not permitted for the 3D space if content is shared that is not suitable for the 3D space or if the main purpose of the LIVE video is to redirect users to another platform. An age restriction (18+) applies to LIVE sessions if content unsuitable for minors is shared. If a LIVE video repeatedly shares content that is inappropriate for the 3D space, we will apply temporary restrictions to the account holder, including restricting the visibility of their LIVE videos or the use of certain LIVE features.

In the case of a multi-guest LIVE, the host account is responsible for the content streamed in its own LIVE. Hosts may not allow guests to share content if the content violates our rules or does not meet our eligibility requirements for the 3D space. If guests stream content that violates our rules, the multi-guest LIVE session will be closed. This may also result in temporary restrictions on access to LIVE for the host or guests. If guests stream content that is not permitted for the 3D room, the LIVE video will be prohibited for the 3D room.

SEARCH

Using the search function can be an enriching and helpful way to discover content on the platform. We try to provide relevant search results when a search is performed. We restrict searches that use keywords or phrases that violate our rules. Content that is allowed on the platform but does not meet our requirements for recommendations may not appear as a top search result.

We display search suggestions that are relevant to the respective users. These search suggestions can be found throughout the platform, including auto-completion in the search function, in the “Like” section and when viewing content in the For You feed.

EXTERNAL LINKS

Links are often shared in a profile, bio or content to link to additional content or other websites. Some links may be helpful or informative, but others may lead to harmful content that is not allowed on our platform. We do not allow the posting of links that lead others to content that violates our rules. In the event of a violation of our rules, the link will be removed, a temporary restriction on uploading other links will be imposed or the account will be suspended. If a link connects to content that is considered a serious violation of our rules, we may also suspend the account.

COMMENTS AND DIRECT MESSAGES

Comments and Direct Messages on Veelive allow users to interact with videos or directly with other people and provide an integral interactive experience for the platform. Users must be at least 16 years old to use direct messaging. To use advanced messaging features, such as group messaging, a minimum age of 18 applies in some regions.

A violation of our rules will result in limited visibility or removal of comments or a restriction on sending direct messages. In the event of a serious violation, the account may be blocked.

MONETIZATION

We offer features that allow creators to monetize their content and enable businesses to run and grow their operations. Users must be at least 18 years old to use monetization features.

Accounts must meet the relevant eligibility criteria to qualify for our monetization features. Additional requirements may apply to the use of monetization features, such as LIVE Gifts. Violation of our rules may result in a temporary restriction of monetization features. Repeated violations will result in a permanent restriction or account suspension. Content that is not permitted in the 3D space may be excluded from the monetization functions.

All commercial content on Veelive must be disclosed as such and comply with the relevant monetization feature guidelines, such as the Branded Content Policy, Veelive Advertising Guidelines on Advertising Media, Veelive Business Listing Advertising Guidelines and Veelive Shop Guidelines. If we become aware of marketing content that has not been clearly disclosed, we will apply the “content disclosure” setting. Promotional content includes the promotion of owned brands, products and services or the exchange of something of value between creators, third parties and a creator (e.g. branded content), a creator and a business (e.g. e-commerce) or a creator and Veelive (e.g. the Creator Fund).

ADMISSIBILITY REQUIREMENTS FOR THE METAVERSE AND 3D SPACE

The 3D Space on Veelive offers users an innovative and personalized environment to showcase their social media channels, post content, and connect with a diverse audience. It is designed to serve a broad demographic, from teenagers to older adults, while maintaining a safe, inclusive, and respectful digital environment.

To achieve this, we have outlined the admissibility requirements for content in the 3D Space, ensuring the safety, trust, and alignment with community values and cultural practices.

1. OVERVIEW OF THE 3D SPACE

  • Personalized Environment: Users can display all their social media channels in one view, enabling seamless interaction.
  • Posting Feature: Users can create and share content directly in their 3D Space.
  • Diverse Audience: The 3D Space is designed for a global audience of all age groups, with special provisions for minors.
  • Restricted Content: Content unsuitable for a general audience may not be displayed in the 3D Space but could still be accessible via other features like search or account following.

2. CONTENT ELIGIBILITY IN THE 3D SPACE

Certain content may be acceptable when posted occasionally but could become problematic if posted frequently. Examples include:

  • Diets or extreme fitness regimens.
  • Sadness-related content (e.g., hopelessness or sad quotes).
  • Generalized information on mental health (e.g., quizzes to self-diagnose mental illness).

Repeated patterns of such content will be restricted to prevent overexposure.

3. PROHIBITED CONTENT FOR THE 3D SPACE

Content in the following categories is not permitted:

A. Protection and Welfare of Minors

  • Content created by users under the age of 16.

B. Hate Speech and Discrimination

  • Indirect or implicit derogatory statements targeting protected groups.

C. Eating Disorders and Body Image

  • Promotion of unhealthy weight control behaviors, including:
    • Extreme diets (e.g., prolonged fasting).
    • Use of drugs or supplements for weight loss or muscle gain (e.g., anabolic steroids).
    • Exercises targeting rapid, unrealistic weight loss.
  • Promotion of cosmetic surgery without adequate risk warnings.

D. Dangerous Challenges and Actions

  • Content promoting activities that could cause moderate physical harm.

E. Nudity and Physical Exposure

  • Depictions of semi-nudity, including:
    • Adults wearing minimal clothing.
    • Depictions of young individuals in revealing attire.
    • Infants or small children with implied nudity.

F. Sexually Suggestive Content

  • Intimate kissing or sexualized behavior.
  • Display of sex-related products.

G. Shocking and Explicit Content

  • Content containing:
    • Blood or graphic injuries.
    • Extreme physical fights or violence.
    • Fictitious or distressing violence.
    • Material designed to disgust or shock.

H. Misinformation

  • Conspiracy theories.
  • Health misinformation regarding unverified treatments.
  • Misleading repurposed media or selective use of scientific data.

I. Integrity of Civil Processes

  • Unverified claims about elections or government policies.

J. Fake Interactions

  • Content designed to manipulate metrics, such as “like-for-like” promises.

K. Third-Party Content and Quality

  • Reposted content with visible watermarks.
  • Low-quality or unoriginal content (e.g., GIF-only clips).

L. Gambling and Regulated Substances

  • Gambling or gambling-related activities.
  • Promotion or excessive depiction of alcohol, tobacco, or drugs.

M. Commercial Disclosure and Paid Marketing

  • Undisclosed promotional content.

4. LIVE CONTENT IN THE 3D SPACE

  • Inadmissible LIVE Content:
    • LIVE streams directing users to external platforms.
    • Content that violates 3D Space policies.
  • Guest Responsibility: Hosts are responsible for ensuring guests in multi-guest LIVE sessions adhere to these guidelines.

5. DEFINITIONS AND CLARIFICATIONS

To ensure clarity, we provide the following definitions:

  • Protected Groups: Communities with shared, legally protected characteristics.
  • Potentially Harmful Weight Control: Extreme behaviors to gain or lose weight, posing health risks.
  • Semi-Nudity: Minimal clothing that implies nudity.
  • Misinformation: Content containing false or misleading claims.
  • Regulated Substances: Substances with legal or prescription restrictions.
  • Gambling: Betting money or valuable items on uncertain outcomes.

6. ADDITIONAL NOTES

  • Content excluded from the 3D Space may still be accessible via other platform features.
  • Violations of these guidelines may result in restricted content visibility, account warnings, or suspension.

TERMS OF USE FOR INFLUENCER NODES ON VEELIVE

  1. INTRODUCTION

These Terms of Use govern the creation, management, and use of Influencer Nodes on the Veelive platform. By applying for or utilizing Influencer Nodes, you agree to comply with these terms. If you do not agree, you may not use or access Influencer Nodes on Veelive.

  1. DEFINITION OF INFLUENCER NODES

  1. What Are Influencer Nodes: Influencer Nodes are exclusive digital assets provided by Veelive to qualified influencers with a minimum of 5,000 followers on a recognized social media platform.
  2. Purpose: Influencer Nodes enable influencers to monetize their audience by offering followers access to unique products, services, or experiences within the Veelive ecosystem.
  3. Ownership: Influencer Nodes are virtual assets tied to your Veelive account. Ownership of nodes does not grant intellectual property rights over Veelive’s platform or technology.

  1. ELIGIBILITY

  1. Minimum Requirements: To qualify for Influencer Nodes, you must:
    • Have a minimum of 5,000 followers on an approved social media platform.
    • Complete the influencer application form and provide accurate proof of your following.
  2. Verification: Applications are subject to Veelive’s verification process. Influencer status may be revoked if false or misleading information is provided.

  1. CREATION AND DISTRIBUTION

  1. Node Allocation:
    • Influencers receive 20x the number of their followers in nodes. For example, an influencer with 10,000 followers receives 200,000 nodes.
    • Nodes are distributed at no upfront cost to the influencer.
  2. Node Sales:
    • Influencers can sell their nodes to followers or other Veelive users at a fixed price of 7 USDT per node.
    • Each node owner earns a pro-rata return from purchases made within the influencer’s community.

  1. EARNINGS AND COMMISSIONS

  1. Influencer Earnings: Influencers earn 50% of the sale price of each node sold.
  2. Community Earnings: Influencers earn commissions on purchases made by their community members on the Veelive marketplace.
  3. Payment Schedule: All earnings are distributed in real-time in USDT to the influencer’s Veelive wallet.

  1. RESPONSIBILITIES OF INFLUENCERS

  1. Community Engagement: Influencers must actively promote their nodes and engage their community to maximize participation and mutual benefits.
  2. Compliance: Influencers must adhere to Veelive’s community guidelines, including ethical promotion practices and transparency about potential earnings.
  3. Misuse: Influencers engaging in fraudulent activities, spamming, or violating platform policies may have their nodes revoked and earnings withheld.

  1. NODE BUYER RIGHTS AND BENEFITS

  1. Ownership: Buyers of nodes gain access to exclusive content, products, or benefits offered by the influencer and Veelive.
  2. Earnings: Node owners share in the revenue generated by purchases made within the influencer’s community.
  3. Transferability: Nodes are tied to the Veelive ecosystem and cannot be transferred outside of the platform.

  1. TERMINATION AND DEACTIVATION

  1. Voluntary Termination: Influencers may deactivate their nodes at any time. However, any unsold nodes will be forfeited.
  2. Involuntary Termination: Veelive reserves the right to deactivate nodes due to inactivity, policy violations, or fraudulent behavior.

  1. LIABILITY AND DISCLAIMER

  1. Platform Stability: Veelive is not liable for interruptions, errors, or delays in node functionality or earnings caused by technical or operational issues.
  2. Earnings Disclaimer: Earnings depend on influencer engagement and community activity. Veelive does not guarantee specific income levels.
  3. Third-Party Actions: Veelive is not responsible for actions or behavior of node buyers or community members.

  1. MODIFICATIONS TO TERMS

Veelive reserves the right to modify these Terms of Use at any time. Influencers will be notified of significant changes, and continued use of Influencer Nodes constitutes acceptance of the updated terms.

TERMS OF USE FOR VEELIVE CHARACTERS

1. INTRODUCTION

These terms govern the use of characters within the Veelive platform. By creating, purchasing, or using a character, you agree to comply with these terms. If you do not agree, you may not use the characters provided by Veelive.

2. CHARACTER OWNERSHIP AND USE

  1. Ownership: Characters are virtual assets tied to your Veelive account. While you hold the rights to use the character, Veelive retains all intellectual property rights to the character designs and associated features.
  2. Usage Rights: Characters may only be used within the Veelive platform, including but not limited to social interactions, investments, and avatar-based activities.
  3. Character Levels: Upgrading or unlocking higher-level characters requires fulfilling specified requirements, including potential fees or meeting platform activity milestones.
  4. Limitations: Characters may not be resold, traded, or transferred outside of the Veelive ecosystem unless explicitly stated by Veelive.

3. CHARACTER UPGRADES AND FEATURES

  1. Upgrades: Upgrading characters unlocks additional features, such as access to larger starting funds, exclusive areas, and advanced functionalities.
  2. Fees and Costs: Upgrades may require payment in USDT or, in the future, platform-specific tokens. All payments are final and non-refundable.
  3. Customizations: Users may customize certain aspects of their characters, but all customizations must comply with Veelive’s community guidelines.

4. STARTING FUND

  1. Definition: Certain characters include access to a starting fund, which allows users to invest in Veelive products such as land, buildings, or NFTs.
  2. Usage Period: The starting fund must be utilized within six months from activation. Any unused funds after this period will expire.
  3. Fees: Accessing the starting fund incurs a fee, which varies based on character level (e.g., 5%, 6%, or 7%).

5. RESTRICTIONS ON USE

  1. Characters may not be used for activities that violate Veelive’s policies, including but not limited to:
    • Harassment, hate speech, or discrimination.
    • Fraudulent or deceptive activities.
    • Actions that disrupt the Veelive platform or harm other users.
  2. Veelive reserves the right to suspend or terminate characters used in violation of these terms.

6. INCOME AND REWARDS

  1. Earnings: Characters may generate income through in-platform activities, such as investments or rewards for completed tasks.
  2. Payouts: Earnings associated with characters are subject to Veelive’s payout policies, including withdrawal limits and retention periods.
  3. Adjustments: Veelive reserves the right to modify character-related earning structures to maintain platform stability.

7. TERMINATION AND DEACTIVATION

  1. Voluntary Termination: Users may deactivate their character at any time, forfeiting all associated features and benefits.
  2. Involuntary Termination: Veelive may suspend or terminate a character due to inactivity, non-compliance with these terms, or misuse.

8. LIABILITY AND DISCLAIMER

  1. Disclaimer: Veelive is not responsible for losses or damages incurred through character usage, including financial investments made via starting funds or other character-enabled features.
  2. No Warranty: Characters are provided “as is” without warranty of any kind. Veelive does not guarantee uninterrupted or error-free use of characters.

9. MODIFICATIONS TO TERMS

Veelive reserves the right to update these terms at any time. Users will be notified of significant changes, and continued use of characters constitutes acceptance of the revised terms.

TERMS OF USE FOR MUSIC NFTS ON VEELIVE

Effective Date: January 1/2025

  1. INTRODUCTION

These Terms of Use govern the creation, purchase, rental, and use of Music NFTs offered by Veelive. By engaging with Veelive’s Music NFT platform, you agree to comply with these terms. If you do not agree, you may not access or use Veelive’s Music NFT services.

  1. DEFINITION OF MUSIC NFTS

  1. What Are Music NFTs: Music NFTs are unique, blockchain-based digital assets representing ownership or shared rights to songs produced under Veelive’s Veetune label.
  2. Ownership: Purchasing a Music NFT grants the buyer certain rights as described in these terms but does not transfer intellectual property rights unless explicitly stated.

  1. PURCHASE OPTIONS

  1. Purchase Model:
    • Each song is divided into 50 NFT shares (50 copies).
    • Buyers can purchase 1 or more shares of a song.
    • Buyers receive download and streaming revenue from all platforms proportional to their ownership share.
  2. Full Song Purchase:
    • Buyers can acquire all shares of a song.
    • For previously sold shares, the buyer must pay a 30% premium to existing owners as compensation.
    • This transfer is contractually agreed upon, and shares are returned to Veelive upon full purchase.

  1. PRICING AND PAYMENTS

  1. Share Pricing: Prices for individual shares range from 5,000 to 20,000 USDT, divided among 50 shares.
    • Example: A song priced at 8,000 USDT would cost 160 USDT per share.
  2. Full Purchase Pricing: Buyers of the entire song must pay the remaining share cost plus a 30% premium for shares already sold, along with a transaction fee of 3% for Veelive.

  1. RIGHTS AND BENEFITS

  1. Revenue Sharing:
    • Buyers receive a proportional share of download and streaming income from all platforms.
    • Revenue is distributed quarterly to NFT holders.
  2. Exclusive Rights:
    • Full song buyers may gain exclusive rights to commercialize the song beyond personal use.
  3. Transparency: All transactions, revenue distributions, and ownership details are recorded on Veelive’s blockchain.

  1. RESPONSIBILITIES OF BUYERS

  1. Compliance: Buyers must adhere to all Veelive policies and applicable laws regarding music and intellectual property.
  2. Non-Transferability: Music NFTs are tied to the Veelive platform and cannot be transferred or traded outside its ecosystem unless explicitly stated.
  3. Fair Use: Music NFTs may not be used for purposes that violate copyright law, including unauthorized reproduction, distribution, or modification.

  1. VEELIVE’S RIGHTS AND RESPONSIBILITIES

  1. Content Delivery: Veelive ensures that all purchased Music NFTs are accessible to users through the platform.
  2. Revenue Distribution: Veelive facilitates the accurate distribution of revenue to NFT holders.
  3. Platform Changes: Veelive reserves the right to modify or update the Music NFT platform, ensuring minimal disruption to users.

  1. REFUNDS AND RETURNS

  1. No Refund Policy: All purchases of Music NFTs are final and non-refundable.
  2. Platform Failures: In the event of technical failures, Veelive will make reasonable efforts to restore access or provide equivalent compensation.

  1. TERMINATION AND DEACTIVATION

  1. Voluntary Termination: Users may opt to sell their shares back to Veelive or other users as permitted by the platform.
  2. Involuntary Termination: Veelive reserves the right to revoke Music NFT access in cases of fraud, policy violations, or illegal activities.

  1. LIABILITY AND DISCLAIMER

  1. Earnings Disclaimer: Earnings depend on market activity, streaming performance, and other factors. Veelive does not guarantee specific income levels.
  2. Platform Stability: Veelive is not liable for losses caused by interruptions, delays, or errors on the platform.
  3. Third-Party Actions: Veelive is not responsible for actions by third-party streaming platforms or other entities.

  1. MODIFICATIONS TO TERMS

Veelive reserves the right to update these terms at any time. Significant changes will be communicated to users, and continued use constitutes acceptance of the updated terms.
